Bruxford Terms & Conditions:
1. Scope of Services:
Bruxford agrees to provide IT and business consultation services as mutually agreed upon in the project proposal or agreement.
2. Client Responsibilities:
The client agrees to provide necessary information, resources, and cooperation required for the successful completion of the consultation services.
3. Confidentiality:
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the consultation period.
4. Payment Terms:
Payment terms, including rates and invoicing details, will be outlined in the project agreement. Late payments may be subject to interest as specified.
5. Project Timeline:
A project timeline will be established in collaboration with the client. Delays caused by unforeseen circumstances may be addressed through mutual agreement.
6. Intellectual Property:
Any intellectual property developed during the course of the consultation will be owned by Bruxford until full payment is received.
7. Termination:
Either party may terminate the agreement with written notice if the other party breaches the terms outlined herein. Termination fees, if applicable, will be specified.
8. Liability:
Bruxford is not liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the services provided.
9. Governing Law:
This agreement is governed by the laws of India. Any disputes arising will be resolved through arbitration in accordance with the rules of ICA.
10. Changes to Terms:
Bruxford reserves the right to update these terms and conditions. Clients will be notified of any changes, and continued use of services implies acceptance of the revised terms.
11. Force Majeure:
Bruxford is not liable for any failure or delay in performance due to events beyond its control, including but not limited to acts of God, natural disasters, or government actions.
12. Miscellaneous:
Any modifications to this agreement must be in writing and signed by both parties. These terms constitute the entire agreement between the parties and supersede any prior understandings or agreements.
By engaging in services with Bruxford, the client acknowledges and agrees to these terms and conditions.
